VHT.ai Terms of Service

1. Acceptance of Terms
By accessing, registering for, or using the VHT.ai platform, services, or any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, HIPAA Authorization (if applicable), and Communication Consent, which are incorporated herein by reference. If you are using the Services on behalf of an entity (e.g., employer or family member), you represent that you have authority to bind that entity. If you do not agree, do not use the Services. VHT.ai reserves the right to update these Terms at any time; we will notify you via email or in-app notice. Continued use constitutes acceptance. These Terms apply globally, but you must comply with your local laws.
2. Description of Services
VHT.ai provides virtual healthcare technology, including telehealth tools, secure medical records management, appointment scheduling, and AI-powered educational features like ECHNA (Empathetic Care & Health Navigation Assistant). ECHNA offers informational guidance, symptom triage suggestions, health navigation, and research-based insights derived from general data and user inputs. ECHNA is not a substitute for professional medical advice, diagnosis, treatment, or emergency care. She does not create a doctor-patient relationship and is intended solely for educational and research purposes. Users must consult licensed healthcare providers for any medical decisions. VHT.ai does not guarantee the accuracy, completeness, or timeliness of AI outputs, which may contain errors, biases, or limitations.
3. AI Features and Your Data
ECHNA's replies, voice, suggestions and insights are generated with the help of third-party AI service providers. To answer you, ECHNA sends your messages and the health information it needs for each reply, such as your profile, conditions, medications and recent readings, to these providers. They process this information only to provide ECHNA's features, under data-processing terms, and we do not sell your data. Details are in our Privacy Policy under "Sharing and Disclosure". By reading and accepting these Terms and our Privacy Policy when you sign up, you give your explicit permission for this sharing. You can review these agreements at any time in Settings → Legal & Privacy. If you no longer want your information shared with AI service providers, you can delete your account and data at any time (Settings → Account → Delete My Account).
4. Eligibility and User Responsibilities
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You agree to: (a) provide accurate, current information; (b) maintain account security (e.g., using a strong, unique password and multi-factor authentication where available); (c) use Services lawfully and not for illegal purposes; (d) not rely on ECHNA or other AI tools as medical advice; (e) comply with Washington state telehealth laws, including consent requirements; and (f) indemnify VHT.ai against claims arising from your misuse, including unauthorized data sharing or reliance on AI for health decisions. For global users, you acknowledge that Services are U.S.-based and may not comply with all foreign regulations (e.g., consult local laws for telehealth).
5. Intellectual Property
All content, software, AI models (including ECHNA), and trademarks on the Services are owned by VHT.ai or its licensors and protected by U.S. and international IP laws. You are granted a limited, non-exclusive license to use the Services for personal or professional purposes. You may not copy, modify, reverse-engineer, or distribute any part without written permission.
6. Privacy and Data Security
See our Privacy Policy for details. We protect U.S. protected health information (PHI) with safeguards aligned to HIPAA, and we comply with Washington's MHMDA for consumer health data. For international users, we adhere to applicable data transfer frameworks like DPF for EU data.
7. Payments and Subscriptions
Subscriptions are billed as described. You authorize recurring charges. Refunds are at VHT.ai's discretion. Taxes apply per your location.
8. Termination
VHT.ai may suspend or terminate your access for violations, with or without notice. Upon termination, your data access may be limited, subject to legal retention requirements.
9. Disclaimers and Limitation of Liability
Services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. VHT.ai disclaims liability for: (a) AI inaccuracies or user reliance on ECHNA; (b) data loss or breaches despite security measures; (c) third-party integrations; or (d) global regulatory non-compliance. To the fullest extent permitted by law, VHT.ai's total liability shall not exceed the fees you paid in the prior 12 months. No indirect, consequential, or punitive damages. These limits apply even if advised of potential harm.
10. Indemnification
You agree to defend, indemnify, and hold harmless VHT.ai, its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Services, breach of Terms, or violation of laws.
11. Dispute Resolution
Disputes shall be resolved through binding arbitration in Seattle, Washington, under American Arbitration Association rules, waiving class actions and jury trials. Governing law is Washington state, without regard to conflict-of-laws principles.
12. Miscellaneous
If any provision is unenforceable, the remainder remains in effect. These Terms constitute the entire agreement.
